Terms & Conditions of Sale

These Terms & Conditions ("Terms") apply to all quotations issued and all sales made by BES Aero LLC ("Seller") to the purchaser ("Buyer"), unless otherwise agreed in writing. Any conflicting terms in the Buyer's purchase order are rejected unless expressly accepted by Seller in writing.

1. Quotations

Quotations are valid for the period stated on the quotation (or seven (7) days if none is stated) and are subject to prior sale. Pricing, availability and lead times may change until an order is confirmed in writing by Seller.

2. Orders

An order is binding only when confirmed in writing by Seller. Confirmed orders for non-stock, special-order or exchange items may not be cancelled without Seller's written consent, and cancellation charges may apply.

3. Payment

Unless otherwise agreed in writing, payment is due in advance by bank wire transfer in U.S. dollars. Approved accounts may be offered credit terms. All bank charges are for Buyer's account. Title to goods remains with Seller until payment is received in full.

4. Shipping & risk

Unless otherwise stated on the quotation, goods are sold EXW / FCA Miami, Florida (Incoterms® 2020). Risk of loss passes to Buyer in accordance with the agreed Incoterm. Delivery dates are estimates; Seller is not liable for delays caused by carriers, customs or events beyond its reasonable control.

5. Documentation

Parts are supplied with the documentation stated on the quotation. Buyer is responsible for ensuring that parts and documentation are suitable for Buyer's intended installation and comply with the requirements of Buyer's aviation authority.

6. Inspection & returns

Buyer must inspect goods on receipt and report any shortage, damage or non-conformity in writing within ten (10) days. Returns require prior written authorization (RMA) from Seller and must be in the original condition and packaging with all documentation. Restocking fees may apply to returns not caused by Seller error.

7. Warranty

Warranty terms, if any, are stated on the quotation and typically pass through the warranty of the manufacturer or repair station. Parts sold in "As Removed" (AR) condition are sold as-is with no warranty. Except as expressly stated, Seller makes no other warranties, express or implied, including any warranty of merchantability or fitness for a particular purpose.

8. Limitation of liability

Seller's total liability arising from any sale shall not exceed the purchase price of the goods concerned. In no event shall Seller be liable for indirect, incidental or consequential damages, including loss of use, loss of revenue or aircraft downtime.

9. Export control

Goods are subject to U.S. export control and sanctions laws, including the Export Administration Regulations. Buyer agrees not to export, re-export or transfer any goods in violation of such laws, and to provide end-use and end-user information upon request. Seller may cancel any order that it cannot fulfil in compliance with applicable law.

10. Governing law

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law principles. The courts located in Miami-Dade County, Florida shall have exclusive jurisdiction over any dispute. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
